1. Definitions
Service means the TaxiCloud taxi dispatch software platform, driver app, customer app, AI Copilot, and related APIs. Customer means the fleet operator entity that subscribes to the Service. Authorised Users means dispatchers, drivers, and account managers granted access by the Customer.
2. Subscription and billing
Subscriptions are billed monthly or annually in advance. Annual billing carries a two-month discount. Plans are listed on the pricing page at £49 to £349 per month and run month-to-month with one calendar month notice for cancellation. There is no setup fee on Starter or Pro. Payment is processed via Stripe; card data never touches TaxiCloud infrastructure.
3. Trial
The 14-day free trial requires no payment card. Trial accounts have full feature access on the chosen plan. At the end of the trial, Customers who do not subscribe lose write access; data export remains available for 30 days then is permanently deleted.
4. Acceptable use
The Customer agrees not to:
- Use the Service to dispatch unlicensed drivers or vehicles in any jurisdiction.
- Reverse-engineer, decompile, or extract source code from the Service.
- Resell access without a written white-label agreement (white-label is included from Pro upward, but resale terms must be agreed).
- Send unsolicited commercial communications (spam) via TaxiCloud messaging features.
- Use the Service for any illegal purpose or in violation of UK, Irish, or applicable EU law.
5. Customer data
The Customer retains all rights in Customer data. TaxiCloud processes Customer data only as necessary to deliver the Service or as instructed in writing. Data is exportable as CSV or via the authenticated API at any time. See the privacy policy and Data Processing Agreement for details.
6. Service level
Target uptime is 99.95% measured monthly. Service credits apply for downtime exceeding the target on Pro Max and Pro Ultra plans. Critical incidents are acknowledged within 30 minutes 24/7 on Pro Ultra; same business day on Pro Max; one business day on Pro.
7. Intellectual property
TaxiCloud retains all rights, title, and interest in the Service, including software, designs, trademarks, and documentation. The Customer grants TaxiCloud a limited licence to process Customer data as necessary to deliver the Service.
8. Liability
TaxiCloud's total liability under these terms is limited to the amount paid by the Customer in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages. Nothing in these terms limits liability for fraud, gross negligence, or death or personal injury caused by negligence.
9. Termination
Either party may terminate for material breach not cured within 30 days of written notice. The Customer may cancel for convenience with one calendar month notice. On termination, Customer data export remains available for 30 days then is permanently deleted.
10. Governing law
These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, save that either party may seek injunctive relief in any competent jurisdiction.
